Welcome to Papalocal. These Terms of Service ("Terms") govern your access to and use of the website papalocal.com and all related services (collectively, the "Platform") operated by eWebify, LLC ("eWebify," "Papalocal," "we," "us," or "our").

Please also review our Privacy Policy, which describes how we collect and use your personal information.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

• You must be at least 18 years old to create and maintain your own personal account on Papalocal.
• Minor Access (Under 18): Users under the age of 18 may only access the Platform under a parent or legal guardian's account. Minors must remain under their parent or guardian's supervision at all times and are limited to features approved by the account holder. The parent or guardian is fully responsible for all activity by the minor under their account.
• If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
• You must provide accurate, current, and complete information during registration and keep it updated.

2. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Platform Services

Papalocal provides a platform for local businesses to:

• Create and manage business profiles and listings.
• Receive and manage customer reviews and ratings.
• Generate and distribute business referrals through partner networks.
• Manage contacts, employees, and business relationships (CRM features).
• Connect third-party services (Gmail, Jobber, Stripe) for enhanced functionality.
• Sync email accounts to automatically extract contacts and manage communications.
• Utilize AI-powered automations for review replies, referral generation, and task management.
• Participate in local business co-operatives.
• Create and manage quotes, invoices, and jobs.

4. Fees & Billing

4.1 Subscription & Add-On Pricing

• Certain features require paid subscriptions or add-ons (e.g., Co-Op Membership, Email Sync, CRM Basic).
• Prices are displayed at the time of purchase and may be updated with notice.
• Add-on costs are billed on a recurring basis (daily wallet deductions or monthly) as described at activation.

4.2 Wallet & Payment

• Your account includes a wallet balance used for daily billing deductions.
• You are responsible for maintaining sufficient wallet balance to cover active subscriptions and add-ons.
• Failed payment may result in suspension of paid features.

4.3 Cancellation

• You may cancel any subscription or add-on at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Cancellation is as simple as clicking the cancel button in your account settings — no phone calls, emails, or additional steps are required.
• Upon cancellation, you will retain access to paid features until the end of the current billing period. No further charges will be applied after cancellation.

4.4 Refunds

• Fees are generally non-refundable except as required by law or at our sole discretion.
• If you believe you were charged in error, contact support@papalocal.com within 30 days.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Post false, misleading, defamatory, or fraudulent content.
• Impersonate any person or entity, or misrepresent your affiliation with a business.
• Harvest, scrape, or collect user data without authorization.
• Interfere with or disrupt the Platform's infrastructure or security.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use automated tools (bots, scrapers) to access the Platform without our written permission.
• Upload viruses, malware, or any harmful code.
• Send spam, unsolicited messages, or bulk communications through the Platform.
• Manipulate reviews, ratings, or referral systems.

6. User Content

• Ownership: You retain ownership of content you submit (reviews, photos, descriptions, messages).
• License: By posting content, you grant Papalocal a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.
• Responsibility: You are solely responsible for content you submit. We do not endorse user-submitted content.
• Removal: We reserve the right to remove content that violates these Terms, is objectionable, or is harmful, without prior notice.

7. Third-Party Integrations

The Platform allows you to connect third-party services:

• Gmail (Google OAuth): Email syncing and contact extraction. Governed by Google's Terms of Service and our Privacy Policy.
• Stripe: Payment processing. Governed by Stripe's Terms of Service.
• Jobber: Client and job syncing. Governed by Jobber's Terms of Service.

We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is at your own risk and subject to their respective terms.

8. AI-Powered Features

• Papalocal uses artificial intelligence to power certain features including automated review replies, referral matching, and task generation.
• AI-generated content is provided as suggestions and may not always be accurate. You are responsible for reviewing and approving AI-generated content before it is published or sent.
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated outputs.

9. Intellectual Property

• The Platform, including its design, code, features, logos, and branding, is the property of eWebify, LLC and is protected by intellectual property laws.
• You may not copy, modify, distribute, or create derivative works of our Platform without written permission.
• "Papalocal" and associated logos are trademarks of eWebify, LLC.

10. Disclaimers

• The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Platform will be uninterrupted, error-free, or secure.
• We do not endorse, guarantee, or assume responsibility for any business, product, or service listed on the Platform.
• Referrals and partner connections are facilitated by the Platform but the quality of services rendered by businesses is solely their responsibility.

11. Limitation of Liability

To the maximum extent permitted by law:

• Papalocal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Papalocal in the 12 months preceding the claim.
• This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

12. Indemnification

You agree to indemnify, defend, and hold harmless Papalocal, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any third party's rights.
• Content you submit to the Platform.

13. Termination

• You may close your account at any time by contacting support@papalocal.com.
• We may suspend or terminate your account at any time, with or without cause, with or without notice.
• Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 10, 11, 12, 16, and 17) will survive.

14. Dispute Resolution

• Informal Resolution: Before filing any legal claim, you agree to contact us at support@papalocal.com and attempt to resolve the dispute informally for at least 30 days.
• Governing Law: These Terms are governed by the laws of the State of Utah, without regard to conflict of law provisions.
• Jurisdiction: Any disputes not resolved informally shall be resolved in the state or federal courts located in Utah County, Utah.
• Class Action Waiver: You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action or class-wide arbitration.

15. Electronic Communications

By using the Platform or providing your email address, you consent to receiving electronic communications from us, including service announcements, administrative messages, billing notifications, and updates to these Terms or our Privacy Policy. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, pandemics, epidemics, government actions or orders, war, terrorism, riots, embargoes, labor disputes, utility or telecommunications failures, cyberattacks, or third-party service outages. During such events, our obligations will be suspended for the duration of the event.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and eWebify, LLC (operating as Papalocal).
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms. Papalocal may assign its rights without restriction.
• Modifications: We may update these Terms at any time. Continued use after changes constitutes acceptance. We will notify users of material changes via email or platform notification.
